For $4.2 billion, Carlsberg will acquire Britvic

In an effort to establish a beverage company in the United Kingdom, Carlsberg (CARLb.CO), has agreed to acquire British soft drink manufacturer Britvic (BVIC.L), for 3.3 billion pounds ($4.23 billion) and acquire UK pub group Marston’s (MARS.L), from its joint venture with the Danish brewer.

In morning trading, Carlsberg shares rose nearly 4%. Marston’s and Britvic both increased by 15%. “We view it (Britvic bargain) as a generally okay exchange with appealing financials,” Jefferies examiners wrote in a note. Monday’s announcement from Carlsberg stated that the company intends to establish a British-based integrated beer and soft drink company by making use of the same procurement, production, and distribution networks.

Carlsberg has a long history in the UK, having been established in Denmark in 1847. It began shipping beer to the UK in 1868 and began brewing in 1973 in Northampton, England. Carlsberg merged with Tetley’s ale’s owners in the 1990s, and in 2020, it established a brewing joint venture with Marston’s.

The Danish company’s partnership with PepsiCo (PEP.O) will be strengthened by the new Carlsberg Britvic business, which and has bottling agreements with both Carlsberg and Britvic.

In light of the long-term decline in some markets, where some drinkers have switched to spirits or stopped drinking altogether, all of the major brewers are looking to expand into new products. Non-alcoholic beverages are sold by Britvic in countries like Brazil, Ireland, Britain, and other international markets like France, the Middle East, and Asia.

The Britvic deal will help Carlsberg expand its presence in Western Europe and expand its bottling operations in the Nordics. It stated that the Danish company anticipates saving approximately 100 million pounds.

After Britvic rejected Carlsberg’s offer of 1,250 pence per share last month, Carlsberg increased its offer for the British company to 1,315 pence per share, which includes cash and a special dividend of 25 pence per share. On Monday, Marston’s announced that it would pay 206 million pounds in cash to sell its 40% stake in its brewing joint venture Carlsberg Marston’s Limited.
